INSTRUCTIONS FOR FILLING OUT THIS FORM

1. The withdrawal notice must be executed by a majority in interest of the partners or by one or more partners authorized by a majority in interest of the partners. Prior to signing, please review carefully the statements set forth in the document. A person commits an offense under section 3.08(b)(13) of the Texas Revised Partnership Act if the person signs a document the person knows is false in any material respect with the intent that the document be delivered on behalf of the partnership to the secretary of state for filing. The offense is a Class A misdemeanor.

3. There is no fee for filing a withdrawal notice.
4. If the notice is properly completed and executed, the secretary of state will file the notice and send a letter acknowledging filing. The duplicate copy will be stamped "Filed" and returned with the acknowledgment letter.
5. The filing of a withdrawal notice terminates the status of the partnership as a registered limited liability partnership as of the date of the filing or as of a later effective date which may be specified in the notice. The later effective date may not be later than the expiration date of the registration.
Note: A document submitted on behalf of a limited partnership registered as a limited liability partnership must be executed by at least one general partner. The term "partners" when used in the context of a registered limited liability partnership refers only to general partners in a limited partnership, not to limited partners. (See section 2.14(b), Texas Revised Limited Partnership Act.)
