ELIGIBILITY: Pursuant to article 2.08 of the Texas Business Corporation Act, article 8.12 of the Texas Limited Liability Company Act, and section 1.05 of the Texas Revised Limited Partnership Act, a foreign corporation, limited liability company, or limited partnership may renew an effective name registration by filing a renewal application within 90 days prior to the expiration of the current registration. If the current registration has expired, the entity must make a new application for name registration (Form 502).
EFFECT: A renewal of name registration will renew the registration for an additional one-year term.

EXECUTION: The application must be executed by an authorized officer of a corporation; a manager of a limited liability company; or a general partner of a partnership. Prior to signing, please review carefully the statements set forth in the document. Please note that the Texas Business Corporation Act, article 10.02; Texas Non-Profit Corporation Act, article 1396-9.03A; and the Texas Limited Liability Company Act, article 9.02 provide that if a person signs a document which the person knows is false in any material respect with the intent that the document be delivered to the secretary of state to be filed on behalf of a corporation, or limited liability company the person has committed an offense. The offense is a Class A misdemeanor. The Texas Revised Limited Partnership Act, section 2.04(c), provides that the execution of a certificate or a written statement constitutes an oath or affirmation, under penalties for perjury, that, to the best of the executing party's knowledge and belief, the facts stated in the certificate or statement are true. Further, a person may be liable for damages.
