INSTRUCTIONS FOR FILLING OUT THIS FORM

ELIGIBILITY: Article 2.07 of the Texas Business Corporation Act governs registration of corporate names. The following corporations may register their names: (1) any corporation organized for the purpose of operating a bank, trust company, or building and loan association, (2) any insurance company currently holding a valid certificate of authority to do business in Texas, and (3) any foreign business corporation not authorized to transact business in Texas. The provisions of the Texas Business Corporation Act supplement the Texas Limited Liability Company Act and therefore any limited liability company not authorized to transact business in Texas may register its name. Section 1.05 of the Texas Revised Limited Partnership Act provides that a foreign limited partnership not authorized to transact business in Texas may register its name.
NAME AVAILABILITY: The name to be registered cannot be the same as or deceptively similar to that of any domestic or foreign corporation, limited liability company, or limited partnership, or any name reservation or registration presently on file with the secretary of state. Therefore, upon submission of the document, the name to be registered will be checked for availability in accordance with the secretary of state's name availability rules. Once filed, the registered name will be protected to the extent provided by those rules.
EFFECT: Name registrations are effective for one year from the date of filing. A registration may be renewed during the ninety (90) days preceding the expiration date of the current registration. A renewal application must include the same items required in an original application, including the appropriate filing fee.

EXECUTION: The application must be executed by an authorized officer of a corporation; a manager of a limited liability company; or a general partner of a partnership.
APPLICATION PROCEDURES: The following items must accompany this application when it is submitted for filing:
(a) Corporation or Limited Liability Company - A certificate from the appropriate official in the jurisdiction of organization stating that the entity is in good standing under the laws of the jurisdiction, and the appropriate filing fee.
(b) Limited Partnership - A certificate from the appropriate official in the jurisdiction of formation stating that the entity is in existence under the laws of that jurisdiction, and the filing fee.
