ARTICLES OF DISSOLUTION PROFESSIONAL ASSOCIATION

Pursuant to the provisions of the Texas Professional Association Act, TEX. REV. CIV. STAT. ANN., article 1528f, sec. 18, the undersigned professional association adopts the following articles of dissolution for the purpose of dissolving the association:

INSTRUCTIONS FOR FILLING OUT THIS FORM
-----------------------------

1. The document must be signed by an officer of the association. Prior to signing, please review carefully the statements set forth in the articles. A person commits an offense under section 26 of the Texas Professional Association Act if the person signs a document the person knows is false in any material respect with the intent that the document be delivered on behalf of the professional association to the secretary of state for filing. The offense is a Class A misdemeanor.

2. Under article 10.03 of the Texas Business Corporation Act which is applicable to professional associations, a professional association may choose to make the filing of certain documents effective as of a date within 90 days of the date of submission. This can be accomplished by stating either a future date or describing a future event within the document submitted for filing. Please refer to article 10.03 of the TBCA for the specific requirements necessary for filing documents with a future effective date.

3. The statutory fee for filing the articles is $40.00, art. 1528f, section 22(3), Texas Professional Association Act. Please submit a check or money order made payable to the secretary of state. The check or money order must be payable through a U.S. bank or other financial institution.

4. Two copies of the form along with the filing fee should be mailed to the address shown in the heading of this form.
