INSTRUCTIONS FOR FILLING OUT THIS FORM

1. Articles of amendment may be used to amend or correct any item in a statement of foreign qualification, amendment, renewal, or withdrawal. This form also may be used to make a change to the registered agent or registered office of the partnership, in lieu of a statement pursuant to Section 10.05(b), Texas Revised Partnership Act. This form is designed to meet minimum statutory filing requirements; no warranty is made regarding the suitability of this form for any particular purpose. This form and the information provided are not substitutes for the advice of an attorney.
2. The first statement on the form for articles of amendment should reflect the current name of the partnership. If the amendment or error to be corrected is in the name of the partnership, the name in item 1 should be the name as it currently appears on the records of the secretary of state rather than the name as corrected or amended.
3. The articles of amendment must be executed by a majority in interest of the partners or by one or more partners authorized by a majority in interest of the partners. Prior to signing, please review carefully the statements set forth in the document. A person commits an offense under section 10.02(m) of the Texas Revised Partnership Act if the person signs a document the person knows is false in any material respect with the intent that the document be delivered on behalf of the partnership to the secretary of state for filing. The offense is a Class A misdemeanor.
4. Two copies of the form along with the filing fee should be mailed to the address shown in the heading of this form. If the articles of amendment are completed and submitted with the correct filing fee, the secretary of state will file the document, send a letter acknowledging filing, and attach a file stamped copy, if a duplicate copy was provided for such purpose. 5. The filing fee is $10 plus, if the articles increase the total number of partners in Texas, $200 for each partner added, but not less than $200 and not more than $750. Fees paid by credit card are subject to a statutorily authorized processing cost of 2.1% of the total fees.
