The name is being reserved for the following type of entity pursuant to the applicable statutory provision. The appropriate fee is enclosed with this application for the type of entity specified below:

Name reservations filed under one statute cannot be used for, or transferred to, filings made under any other statute. In addition, once the application is filed, the name reservation will be recorded exclusively in the name of the applicant. Transfer of the reservation to another person may be made by filing a notice of such transfer executed by the applicant for whom the name was reserved and paying the appropriate fee.

INSTRUCTIONS FOR FILLING OUT THIS FORM

The name of a corporation, limited liability company or limited partnership may be reserved for a period of 120 days. There is no provision for renewal of a name reservation. Consequently, a subsequent application for reservation of the same corporate, limited partnership, or limited liability company name will not be accepted for filing until the original reservation has expired. A registrant may terminate the reservation of a name prior to the expiration of the reservation period by filing an application to cancel the name reservation. The filing fee for cancellation of a corporate name reservation is $15, cancellation of a limited partnership name reservation is $25, and cancellation of a limited liability company name reservation is $10.
Only persons intending to organize a Texas business or non-profit corporation, limited liability company or limited partnership, persons intending to qualify a foreign (out-of-state) corporation, foreign limited liability company or foreign limited partnership to transact business in Texas, or any such entity which intends to change its name may reserve a name using this reservation procedure. This form may be used to reserve the name of any of these types of entities.
The name reservation application should set forth the entity name to be reserved, specify the person for whom the reservation is made, and be signed by the applicant or the attorney or agent thereof. Prior to signing, please read the statements on this form carefully. A person commits an offense under the Texas Business Corporation Act, the Texas Limited Liability Company Act or the Texas Non-Profit Corporation Act if the person signs a document the person knows is false in any material respect with the intent that the document be delivered to the secretary of state for filing. The offense is a Class A misdemeanor.

The applicable statutes and the secretary of state's name availability rules provide that a proposed name cannot be the same as, deceptively similar to, or similar to (without a letter of consent) that of any existing domestic or foreign corporation, limited partnership, limited liability company or any name reservation or registration filed with the secretary of state. Therefore, upon submission of the application, the name will be checked for availability in accordance with the name availability rules administered by the secretary of state. Name availability may be checked prior to submission by calling (512) 463-5555. This is only a preliminary clearance and should not be relied upon as final approval of the name. The final decision regarding name availability will be made when the document is submitted for filing.
