INSTRUCTIONS FOR FILLING OUT THIS FORM
-----------------------------
1. Section 9.05 of the Texas Revised Limited Partnership Act requires a limited partnership to amend its application for registration when any arrangements or other facts described in the application as filed have changed, making the application false in any respect. This form is designed to evidence such changes. If any statement in the application for registration was false when made, the partnership may utilize the form promulgated for the filing of a certificate of correction pursuant to section 2.13 of the Texas Revised Limited Partnership Act (Form 403).
2. An amendment submitted to record a name change must indicate the name of the partnership as it currently appears on the records of the secretary of state in item 1. The new name of the partnership should appear in item 4. In the event the new name is not available for use in Texas, the entity must adopt an assumed name that meets the same requirements of name availability, as do entity names. The assumed name is to be set forth in item 5 of the application and, in addition, the entity is required to file an assumed name certificate in compliance with chapter 36 of the Texas Business & Commerce Code (Form 503).
3. Applications submitted to show a change in the assumed name which the entity previously elected to use in Texas (Items 2 and 5) should be accompanied by a new assumed name certificate.
4. The addition of a new general partner is indicated in item 7A. Item 7B is used to evidence the withdrawal of a named general partner. Item 7C should be used to evidence a change in name of an existing general partner and not to evidence a change in the general partner.
5. A general partner must sign the amendment. Submit two copies of this amendment together with the filing fee to: Secretary of State, Statutory Filings Division, Corporations Section, P. O. 6. The filing fee for an amended application for registration is $200.00 (Sec. 12.01, art. 6132a-1). The check or money order must be made payable to the secretary of state and be payable through a U.S. bank or other financial institution. Fees payable to the secretary of state may be paid with a current, valid Visa®, Discover®, or MasterCard®. Fees paid by credit card are subject to a statutorily authorized processing cost of 2.1% of the total fees.
