INSTRUCTIONS FOR FILLING OUT THIS FORM

1. An application for registration as a limited liability is effective for one year. The registration may be renewed for successive one year terms by filing annually an application for renewal in the manner prescribed for filing of an original application. The renewal application shall be filed during the ninety (90) days preceding the expiration date of the current registration.

2. A renewal application received after the expiration of the registration cannot be filed; the partnership must submit a new initial application. Upon filing, the secretary of state will assign the registered limited liability partnership a new file number.

3. The renewal application must be executed by a majority in interest of the partners or by one or more partners authorized by a majority in interest of the partners. Prior to signing, please review carefully the statements set forth in the document. A person commits an offense under section 3.08(b)(13) of the Texas Revised Partnership Act if the person signs a document the person knows is false in any material respect with the intent that the document be delivered on behalf of the partnership to the secretary of state for filing. The offense is a Class A misdemeanor.

4. Two copies of the form along with the filing fee should be mailed to the address shown in the heading of this form. 5. The filing fee is $200.00 for each partner. The filing fee will be calculated by multiplying the number of partners specified in item 5 by $200.00.

6. If the application is properly completed and submitted with the correct filing fee, the secretary of state will file the renewal and send a letter acknowledging filing. If duplicate copies are submitted, the duplicate copy will be stamped "Filed" and returned with the acknowledgment letter.

Note: A document submitted on behalf of a limited partnership registered pursuant to section 3.08(b) must be executed by at least one general partner. In the context of the provisions of section 3.08(b), Texas Revised Partnership Act, the term "partners" refers to general partners only in a limited partnership registered under the Act. (See section 2.14(b), Texas Revised Limited Partnership Act.)
